§ 1. General Provisions

These Terms of Service govern the use of the website operated by Apex Supply Chain s.r.o. and the general conditions of the consulting services provided. By accessing the website or engaging our services, you agree to be bound by these terms.
The service provider is Apex Supply Chain s.r.o., with its registered office at Na Příkopě 22, 110 00 Prague, Czech Republic. These Regulations are addressed to all Users of the Platform and define the rules for using the website.
The scope of services is detailed in individual service agreements or proposals provided to the Client. These terms form a general framework for any such agreement. In case of conflict, the specific service agreement shall prevail.
We reserve the right to modify these terms at any time. Continued use of the website or services after any such changes shall constitute your consent to such changes. It is your responsibility to review these terms periodically.

Platform – The website available at the domain apexsupplychain.cz, operated by the Service Provider.
User – Any individual or entity browsing the Platform or submitting an inquiry through its forms.
Client – An entity that has entered into a formal agreement for the provision of Services by Apex Supply Chain s.r.o.
Services – The professional supply chain and logistics consulting services offered by Apex Supply Chain s.r.o., as detailed in a specific proposal or contract.
Regulations – This document, the Terms of Service, which governs the use of the Platform and Services.

The Platform provides information about the services offered by Apex Supply Chain s.r.o., including but not limited to warehouse auditing, transport optimization, and digital transformation consulting. It also serves as a point of contact for prospective clients.
The specific scope, deliverables, timeline, and fees for any consulting Services will be defined in a separate, written agreement between Apex Supply Chain s.r.o. and the Client.
All intellectual property, including reports, analyses, and recommendations provided as part of the Services, remains the property of Apex Supply Chain s.r.o. unless otherwise specified in the service agreement.
The User agrees to use the information on the Platform for informational purposes only and not to reproduce, duplicate, copy, sell, resell or exploit any portion of the content without express written permission from us.

To use the Platform, the User must have a device with internet access and a modern web browser (e.g., Chrome, Firefox, Safari, Edge) with JavaScript and cookies enabled.
The Service Provider is not responsible for any disruptions, including interruptions in the functioning of the Platform, caused by force majeure, unlawful actions of third parties, or incompatibility of the Platform with the User's technical infrastructure.
The User acknowledges that the use of services provided electronically may involve risks, such as the unauthorized acquisition and modification of data by third parties.

The User is obligated to use the Platform in a manner consistent with applicable law, social norms, and the provisions of these Regulations. The User agrees to provide true and accurate information in all contact forms.
The User is prohibited from providing content of an unlawful nature, including content that infringes on the personal rights or intellectual property of third parties.
The Client is obligated to cooperate with the Service Provider to the extent necessary for the proper performance of the Services. This includes providing timely access to necessary data, personnel, and facilities as outlined in the service agreement.
The User may not take any actions that could affect the proper functioning of the Platform, including interfering with the content of the Platform or its technical elements.
Confidential information shared by the Client during the provision of Services will be protected in accordance with the terms of a non-disclosure agreement (NDA) or confidentiality clauses within the service agreement.

Any disputes arising from the provision of Services shall be governed by the laws of the Czech Republic. The competent court for resolving disputes will be the court with jurisdiction over the registered office of the Service Provider.
In matters not covered by these Regulations, the relevant provisions of the Czech Civil Code and other applicable laws shall apply.
If any provision of these Regulations is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
